Pall signs agreement to sell its blood collection, filtration and processing product lines to Haemonetics

I

n the USA, filtration, separation and purification company Pall Corp has entered into an agreement to sell certain assets of its blood collection, filtration and processing product lines to Haemonetics Corp for approximately $550 million. Assets included in this transaction are the firm’s portfolio of blood collection, processing and filtration systems and equipment for transfusion medicine. The transaction will involve the transfer of manufacturing facilities in Covina, California; Tijuana, Mexico; Ascoli, Italy and a portion of Pall’s operations in Fajardo, Puerto Rico. Separate from these manufacturing facilities, Pall will also transfer related blood media manufacturing capability to Haemonetics. The transfer of the related media lines is expected to be completed by 2016. Until then Pall will provide these media products under a supply agreement. When the deal is finalised about 1300 employees will move to Haemonetics. Under the terms of this agreement, approximately $535 million will be paid upon closing. The company estimates that the after-tax proceeds related to this payment will be approxi-

mately $430 million. The balance will be payable on Pall’s delivery of certain media assets to Haemonetics. Based in Braintree, Massachusetts, Haemonetics is a global healthcare company that is dedicated to providing blood management products. DW&PS purchases remaining equity in Clean Filtration Technologies

D

ow Water & Process Solutions (DW&PS), a business unit of Dow Chemical Co, has announced an agreement to purchase the remaining equity in Clean Filtration Technologies Inc. DW&PS says this move underscores its strategic commitment to invest and expand the range of products and technologies that it offers the water treatment market. It will operate the new business as Clean Filtration Technologies

Llc (CFT), a wholly-owned subsidiary of Dow Chemical Co. The relationship with CFT progressed after two investments by Dow Venture Capital and joint research and development work in 2010. The new operating unit will combine Clean Filtration Technologies’ expertise in the area of filtration with Dow’s capabilities in the water treatment market. Continued on page 16...
