The merger transaction is expected to close between 1 Aug 2017 and 1 Sep 2017. At the end of the deal, the companies still aim to form three distinct entities focusing on specialities, materials and agrochemicals within 18 months. The materials company will be developed first.

Sales in BASF's Performance Products segment in 1Q 2017 grew by 9% versus 1Q 2016 and amounted to €4.3 bn. This was mainly the result of increased volumes in the Dispersions & Pigments, Care Chemicals and Performance Chemicals divisions. The segment experienced positive currency effects in all divisions and slightly raised sales prices overall. Portfolio effects dampened sales development. EBIT before special items declined by €40 M compared with the solid level of 1Q 2016, due to lower margins and higher fixed costs, and came in at €515 M.

In Saudi Arabia, Dow Chemical's CEO announced the company's plan to build an acrylic-based polymers unit to serve the country's water treatments, coatings and detergents markets. To be located in Jubail's new PlasChem Park [see also 'Focus on Surfactants', Feb 2017], the more than $100 M facility will generate 100 full-time jobs. Dow also intends to perform a feasibility study for a silicones and siloxanes plant in the country. If pushed through, the facility would support 350 full-time jobs, with output serving the home and personal care, automotive, and building and construction markets, among others.

Nexeo Solutions Inc has been contracted as the distributor of Solvay's Aerosol-brand surfactants in Canada and the USA, starting 20 Apr 2017. Previously, these products were marketed by Cytec Industries Inc, which was acquired by Solvay in 2015. The change in distributor was due to Solvay's consolidation and rationalization efforts.

The merger of US-based companies DuPont and Dow Chemical has passed the Chinese antitrust review. Most of the Chinese Ministry of Commerce's conditions were also the concessions required by the European Commission (EC) ['Focus on Surfactants, May 2017]. DuPont will sell a large part of its crop protection segment and agricultural R&D operations to FMC to meet the EC's conditions, while Dow will sell its ethylene acrylic acid (EAA) copolymers segment to SK Global Chemical. The Chinese authorities are also demanding five-year commitments from DuPont and Dow concerning the distribution in China of a number of insecticide and herbicide ingredients for rice crops, and rice seed formulations. Elsewhere, the Administrative Council for Economic Defense in Brazil has also cleared the merger between DuPont and Dow Chemical, subject to similar conditions concerning the sale of Dow Chemical's EAA polymer business and the partial divestment of DuPont's crop protection business. Nexeo to distribute Solvay surfactants

MitrPhol, PTT mull biotech Thailand-based oil and gas company PTT Plc and the country's biggest sugar producer MitrPhol have talked with the Industry Ministry concerning the possible construction of plants to manufacture bio-based cosmetic products. These projects could help cut the dependence on expensive raw materials imports. Mitr Phol aims to build a facility for the development of cosmetics from sugar and its by-products, while PTT is focused on the extraction of fat from agricultural products to blend with its petroleum by-products to develop bioplastics. Two spearhead plants in the Northeast were recommended by the ministry. The ministry and firms need to work directly with the Agriculture Ministry to perform agricultural zoning to prevent crop scarcity as a result of supplying the bioeconomy.
