The transaction is expected to close in the third quarter, subject to customary closing conditions. Financial terms were not disclosed. IVC is a privately owned company founded in 1870 as the Indianapolis Varnish Company. The company, based in Brazil, Indiana, focuses on the development, manufacture and sale of powder and liquid coatings for the general industrial segment. Its industry-leading coatings are used on a wide variety of products such as metal office furniture, material handling and storage products, automotive parts, motorcycles, industrial containers, small appliances and electronics such as printers, servers and audio-visual equipment. As a result of this evaluation, the Board of Directors unanimously has decided to enter into a management agreement with Goyer Management (GMI) beginning July 1, 2015 to run the administrative functions for The Powder Coating Institute. GMI has had a role in the past with PCI as well has run the Chemical Coaters Association (CCAI) and the Industrial Heating Equipment Association (IHEA). Effective July 1, 2015, GMI will take over all of the functions now performed by Dave Lurie and the current PCI staff, including all educational events, programs and the very popular and successful Powder Coated Tough magazine and website. Powder Coating Institute will no Longer Produce Annual Powder Coating Show Nearly 10 years ago, the PCI Board of Directors, acting on input from member companies, agreed it was wise to hold the Coatings/Powder Coating Show every other year, rather than every year. The main reasons driving this were the cost of exhibiting, declining attendance and market innovation timing. In spite of this, the Powder Coating Institute continued to produce the Powder Coating Show annually. In addition, many of the exhibitors at the Powder Coating Show also exhibit at Fabtech's Finishing Pavilion annually. The bottom line is that there are now two shows each year where many PCI members feel compelled to exhibit. The PCI Board of Directors agreed unanimously that the cost of exhibiting at two shows a year is not adding value for their companies, their fellow PCI members, or the industry as a whole. Therefore, the Powder Coating Institute will no longer produce an annual powder coating show and will suggest to its members that they exhibit (if they are not already doing so) in the FABTECH Finishing Pavilion. The Powder Coating Show has provided significant revenue to PCI as part of the many technical services, training and marketing programs offered to its membership making this a particularly difficult decision for the Board. However, looking at the bigger picture and cost burdened by many of our members to participate in multiple shows each year, it is the right decision for both our membership and the Powder Coating market/technology we are directed to promote by our charter. C OAT I N G S Greenkote Announces New Production Capacity for Powder Coatings The Greenkote blank powder coating facility in Louisville, Kentucky, has announced that it is making new production capacity available. Among others, the operation has served one of the nation's largest home appliance manufacturers, and it is now accepting a limited number of volume production orders from product manufacturers. The Louisville facility was specifically designed for powder coating metal "blanks.'' In this special process, flat metal sheets are punched, notched and cut to the appropriate two-dimensional shape before being sent to Greenkote for powder coating. After coating, the flat parts are returned to the OEM where they are subsequently formed into threedimensional final-product shapes. "The Louisville plant was custom-built to be state-of-the-art and is almost totally automated,'' said Greenkote CEO Mark Gore. "The degree of computer control in our manufacturing and QC allows us to guarantee Grade-A coating quality on one hundred percent of our output. And it is a thick, highly uniform, very tough coating with excellent scratch and mar resistance.'' Greenkote's eco-friendly blank powder coating can apply a variety of colors and finishes to virtually any flat metal part up to 37 by 80 inches in size. The process is well suited to a spectrum of products that require Grade-A, highly-durable finishes — such as appliances, home and industrial HVAC, metal furniture, lighting fixtures, shelving and displays, automotive components, water heaters, signs, architectural elements and more. Because the metal sheets remain flat until the very last manufacturing step, Greenkote's blank powder coating can significantly reduce expenses for shipping, handling and storage — dramatically reducing the warehousing space needed for WIP inventory, for example. Greenkote's 100,000 ft2 Louisville plant runs 24 hours a day, five days a week, and can coat more than 10,000 products per day. The facility also provides up to 40,000 ft2 of space which can be used for managing or warehousing of customer materials or for other production activities. FOCUS Sarnia, Ontario is substantially complete. Commissioning is progressing as planned and the plant is on schedule to begin commercial operations in Q3 2015. All piping work has been completed and water tested and all motors have been tested. The production team, analytical staff and engineers have permanently relocated to the plant, and the facility is ready to begin receiving chemicals. The only remaining construction activities involve some instrumentation and control work, insulation of certain pipes, the paving of the site road and parking lot, the removal of scaffolding and the installation of a few wall panels on the exterior of the building. "We are bringing an important chapter in Sarnia's history to a close,'' said Fabrice Orecchioni, BioAmber's Chief Operations Officer. "As we accelerate our commissioning and start up efforts, we put behind us the risk and uncertainty related to the plant's construction costs and schedule, and our focus now turns to achieving commercial operation in the next quarter.'' The control room and laboratories are operational and plant personnel are testing instrument controls in sequence. The next steps will include running initial fermentations and testing the purification equipment to confirm that the plant is producing bio-succinic acid that meets specifications. These activities will be carried out over the next two months. The Company plans to communicate on the outcome of these steps and subsequent milestones as the plant moves toward commercial operation.
