American Water to acquire Keystone Clearwater Solutions

S water and wastewater utility !MERICAN7ATER7ORKS#O)NC has agreed to acquire Keystone Clearwater Solutions from Rex Energy Corp in a US$130 million deal. Headquartered in Hershey, Pennsylvania, Keystone Clearwater Solutions is a water service provider offering a range of water related services and products including pumps and filtration, to the oil and gas industry primarily in the Appalachian region of Pennsylvania, Ohio and West Virginia. The company provides customised water sourcing, transfer and hydraulic fracturing support including intake development, turnkey pipeline construction, water storage, management support and transfer services for shale gas operators. “Keystone Clearwater Solutions provides turn-key water solutions to the shale gas industry in a safe and environmentally responsible manner,” said Susan Story, president and CEO of American Water. “We are excited because Keystone’s offerings are in line with American Water’s core competencies – supplying, transmitting, pumping and storing water and building the infrastructure required to do so.” “This acquisition delivers on one of our growth strategies to develop complementary businesses. Coupled with our existing activity in shale, the Keystone acquisition will enhance our ability to provide additional water services solutions to shale development companies,” added Story. Keystone Clearwater Solutions will operate as a separate, independent subsidiary of American Water and will continue to be led by founder and CEO Ned Wehler.

BioteQ issues short term convertible loans

ioteQ Environmental Technologies Inc has received approval from THE4ORONTO3TOCK%XCHANGETO enter into six month, unsecured, convertible loan agreements worth C$775 000 with six lenders. The lenders include directors and management of BioteQ and nonmanagement insiders of the company. The loans bear interest at a rate of 12% per annum and are repayable in full, at the demand of the lender, on or after 9 December 2015. BioteQ may elect to repay any portion of the outstanding balance at any time subject to a minimum interest payment of 6%. Subject to receiving shareholder approval for the issuance of the underlying shares, each lender may elect to convert the outstanding principal of its loan into common shares of BioteQ on or after the maturity date. The proceeds of the loans will be used to fund general operating expenses over the next six months. BioteQ was expecting to complete an intercompany transfer from its Chinese joint venture back to its Canadian parent company by July of this year. Due to unexpected administrative requirements in China, this transfer has been delayed until approximately October of this year. Pentair invests in Florida aquaculture centre of excellence

entair has opened a World Aquaculture Technology Engineering & Research Center of Excellence on the Pentair Aquatic %CO 3YSTEMSCAMPUSIN!POPKA Florida, USA. The centre, which consists of 12 400 sq ft of laboratories and fish culture systems, will be used for demonstration, research and teaching activities. Customers and educational institutions will be able to monitor online the progress of fish culture trials, including water quality, feeding, feed conversion ratios, growth rates, energy consumption and harvesting activities. “We call this farming reimagined,” said Karl Frykman, president of Pentair’s Water Quality Systems. The centre will showcase Pentair’s expertise and technologies in water reuse systems and solutions, including pumps and filtration systems. Frykman said the centre also highlights the world-class scientific expertise of Pentair’s biologists, engineers, designers and technicians who specialize in sustaining aquatic life.

Revenues up at Porvair

P

orvair expects to report underlying revenue growth for the six months ended 31 May 2015 with demand at or ahead of EXPECTATIONSINMOSTMARKETS In a trading update ahead of the publication of its half-year results at the end of June 2015, Porvair says that interim profits will be up on 2014. Net cash at 31 May 2015 will be £7 million higher than at the same point last year. Underlying revenues exclude proceeds from a number of large contracts recorded in 2014. While large projects continue to progress with further work in the pipeline, revenues from large projects will be lower than in 2014. Porvair says that order books for the second half of the year are healthy. The filtration company has completed and opened new plants in the UK and USA and the China facility’s expansion continues on schedule and to budget. Porvair will publish its interim results for the six months ended 31 May 2015 on 29 June 2015.
