DIVIDENDS/NEWS

Dividends UÊ i̇*ÀœÊ œÀ«’s board of directors has declared a quarterly dividend of US$0.0725 per share payable on 13 September 2013 to shareholders of record on 30 August 2013. In April 2013, Met-Pro entered into a merger agreement with CECO Environmental Corp (see Filtration Industry Analyst, April 2013). If that deal closes before 30 August 2013, then this latest dividend will not be paid to Met-Pro shareholders. However CECO has agreed to set its record date for the payment of its third dividend on a date that is at least two business days after the closing date of the merger. Meanwhile CECO paid a quarterly cash dividend of US$0.05 per share on 28 June 2013, to all shareholders of record on 14 June 2013. www.met-pro.com and www. cecoenviro.com UÊ œ˜>`Ü˜Ê œÊ ˜V’s regular cash dividend of US$0.13 per share was paid on 21 June 2013 to shareholders of record on 7 June 2013. This is a 30% increase on the prior payout of US$0.10 per share. The company increased its dividend policy to pay out 30–40% of the prior three years’ average earnings per share. “We first established our dividend payout policy using financial metrics in the 1980s to make our dividend payout increases more consistent. This has resulted in 27 consecutive years of dividend increases,” said Bill Cook, Donaldson’s CEO. “As we have continued to grow, our ability to consistently pay a higher percentage of earnings has likewise increased. Based on our regular review of our Strategic Growth Plan and our dividend and share repurchase policies, we decided to increase our dividend payout. Our updated dividend payout policy, combined with our longstanding practice of repurchasing an average of 2% of our outstanding shares each year, firmly demonstrates our commitment of returning a high percentage of our earnings to our shareholders while continuing to grow our company’s sales and earnings.” The current declaration is the 231st consecutive quarterly cash dividend paid by Donaldson over 57 years. www.donaldson.com 4
