Pall and Gore form alliance to provide high performance filtration systems US companies Pall Corp and W.L. Gore & Associates Inc have entered into a strategic alliance that gives Pall exclusive worldwide rights to use Gore-Tex filter technology in backwashable filtration systems for applications such as catalyst recovery and wastewater treatment. The companies will work together to extend the reach of Gore-Tex filters, and to identify novel applications for this versatile material. One of their first joint efforts will be to develop a new generation of brine polishing systems that eliminate the need for pre-coating — a process that is both capital and space intensive.

“This relationship strengthens our ability to provide customers with optimal and complete systems for more of their fluid processing needs,” said Bill Palmer, Pall’s senior vice president. Ionics to acquire Ecolochem in US$338 million deal Ionics Inc of Watertown, Massachusetts, USA, has signed a definitive agreement to acquire Ecolochem Inc and its affiliated companies for US$200 million in cash and approximately 4.91 million shares of Ionics’ common stock. Ecolochem, a privately-owned company that is based in Norfolk, Virginia, provides emergency, short-term and long-term mobile water treatment services to the power, petrochemical and other industries. This transaction is expected to significantly augment Ionics’ existing capabilities and result in a global water technology company with pro forma projected (combined) revenues of around US$460 million for 2004. “This acquisition fits well with our strategy of building our recurring revenue business. Ecolochem has built a large and loyal customer base over its long history,” said Douglas Brown, chief executive officer of Ionics. “We believe Ecolochem is well-positioned to benefit from the market trend towards outsourcing water services, particularly in the power industry.” This transaction was unanimously approved by Ionics’ board of directors and agreed to by Ecolochem’s shareholders. The acquisition is

expected to close in early 2004. The transaction is subject to Hart-Scott-Rodino Act review, approval by Ionics shareholders, and other customary closing conditions. For the fiscal year ended 30 September 2003, Ecolochem posted revenue of about US$109 million, earnings before interest, taxes, depreciation and amortization of US$40 million and operating income of approximately US$28 million. These results exclude roughly US$2.3 million in non-recurring charges. Ecolochem shareholders will be entitled to name two additional directors to Ionics’ existing nine-member board. Lyman Dickerson, president of Ecolochem, will be one of them. Dickerson will also continue to run the Ecolochem business and will be named vice president of Ionics’ Water Systems Division. Watts acquires RO specialist Flowmatic Watts Water Technologies Inc of North Andover, Massachusetts, has acquired the assets of Flowmatic Inc, based in Dunnellon, Florida. Watts Water Technologies’ chief executive officer Patrick O’Keefe, said: “The acquisition of Flowmatic expands our filtration product range and it broadens our distribution capabilities. The company will give us more opportunities to provide systems for our customers’ water needs in a rapidly growing water filtration marketplace.” Flowmatic designs and distributes a range of reverse osmosis (RO) components and filtration equipment. Its product line includes stainless steel and plastic housings, filter cartridges, storage tanks, control valves and complete RO systems for residential and commercial applications.
