BASF to buy Johnson Polymer; Lanxess SAN operations

Blackfast Chemicals has entered into an agreement with speciality chemicals company Challenge Inc, to represent the established “Blackfast” room temperature blacking process and the more recently introduced “Blackfast 971 T” pre-treatment process, “a clean technology” product used prior to a variety of paint and powder paint applications. The agreement will give Blackfast Chemicals substantially expanded coverage of the US and provides Challenge with access to the European market. A multi-metal treatment process with excellent adhesion and creep corrosion properties, “Blackfast 971 T” is based on a zirconium titanium complex and will give Challenge the opportunity to develop the business in areas such as the aluminium sector.

Austrian company DIC Performance Resins GmbH (formerly Reichhold) in Vienna is reporting a strong rise in demand for powder acrylates, particularly for applications in plastics. DIC Performance Resins manufactures acrylates for weed and metal, acrylate for plastic coatings and road marking paints. The binding agents for acrylate powder coatings find applications in the manufacture of transparent coatings for car bodies and for the coating of light metal rims

BASF has revealed plans to purchase resins producer Johnson Polymer from JohnsonDiversey at a cost of $470 M. The transaction is anticipated to expand BASF’s share in the resins market, principally in North America. Johnson Polymer generated sales of around $360 M in 2005, of which roughly 60% was accounted for by the North American market. The company, which produces resins for coating applications, has a workforce of 430 and owns facilities in the USA and the Netherlands. BASF expects to close the Johnson Polymer acquisition by Jun 2006. Subsequent to completion, Johnson Polymer will be incorporated into BASF’s performance chemicals business, which manufactures additives and pigments for use in architectural, automotive, industrial and wood coatings. BASF has an independent coatings unit that produces automotive OEM and automotive refinish paint, as well as industrial coatings. In addition to Johnson Polymer, BASF also announced that it would acquire the styrene-acrylonitrile (SAN) copolymers operations of Lanxess in South America and Europe. The deal covers the turn over of customer lists, patent licenses and know-how, and inventory, but excludes the transfer of manufacturing sites or employees. The Lanxess business to be purchased reports SAN sales totalling approximately 14,000 tonnes/y. The Johnson Polymer and Lanxess transactions add to BASF’s series of acquisitions announced in 2006, which include the construction chemicals business of Degussa and the 34% interest of Japanese firm Takeda Pharmaceutical in its joint venture with BASF, BASF Takeda Vitamin.
