FMC buys Phytone & foresees world spending $1 bn on natural colorants FMC Corp (headquartered in Philadelphia) has acquired the entire assets and business of Phytone Ltd, which produces a range of natural colorants at its Burton-on-Trent plant in the English Midlands. Phytone has been producing natural colorants since the late 1980s and it markets its products to a wide range of customers all over the world in the food, beverage, personal care and nutrition sectors. This acquisition follows FMC’s acquisition of the South Pole Biogroup earlier this year. (See also ‘Focus on Pigments’, Jan 2012, 6). Commenting on the latest acquisition, Mr Pierre Brondeau (President, Chairman and Chief Executive of FMC) said: “This acquisition underscores our commitment to grow FMC’s new natural colours portfolio and it represents another important step in our Vision 2015 growth strategy. Sachtleben buys Crenox & becomes world’s largest sulfate TiO2 supplier Effective 15 July 2012, Sachtleben Pigment GmbH (of Duisburg, Germany) acquired the entire business and assets of Crenox GmbH (of Krefeld, Germany), just five weeks after the agreement was first announced. Sachtleben Pigment is a joint venture company established in September 2008, owned 61% by Rockwood Holdings Inc (of Princeton, NJ, USA) and 39% by Kemira Oyj (of Helsinki, Finland). Crenox was the name adopted on 12 May 2010 by Tronox Germany GmbH, which had declared bankruptcy in March 2009 on the grounds that Tronox Inc (the parent company) found itself unable to provide inter-company loans to support its German subsidiaries while they were experiencing cashflow problems. The Insolvency Court in Krefeld then appointed an Official Administrator – Mr Eberhard Stock (an independent lawyer) – who was charged with the twin responsibilities of both running the business as a going concern and negotiating with potentially interested purchasers of the company’s assets. The net proceeds of the sale, after deducting transaction expenses, will be transferred to Tronox Inc. Crenox operates a 107,000 tonnes/y sulfate-route TiO2 pigment plant at Krefeld-Uerdingen. The plant was built by Bayer AG in 1957 and it was sold to Tronox in early 1998. Sachtleben operates two sulfate-route TiO2 plants, one in Finland and one in Germany. The Finnish plant was built in 1962 and it is located at Pori. The German plant was built in 1963 and it is located at Duisburg-Homberg, about 15-20 km north of Uerdingen, downstream along the River Rhine. The acquisition of the Uerdingen plant brings Sachtleben’s total capacity to 347,000 tonnes/y. Therefore, Sachtleben has displaced Huntsman
as the world’s largest producer of sulfate-route TiO2 pigment. Sachtleben also produces barium sulfate, blanc fixe, zinc sulfide and lithopone pigments. Including Crenox, pro forma sales revenue for the combined entity was more than €920 M. All 550 Crenox employees have been transferred to Sachtleben, boosting the total workforce to 2250. Earlier this year, Rockwood and Kemira jointly commissioned Lazard Ltd (the merchant bank) to examine possible options for the future of Sachtleben, the most promising of which might be floating the company as an independent entity on a European stock exchange and holding an initial public offering of shares. Safic-Alcan acquires Necarbo Safic-Alcan SAS (headquartered in Puteaux, on the northern outskirts of Paris) is a substantial force in the European chemicals distribution business. It is a privately owned company, with 325 employees and worldwide sales revenues for full-year 2011 in excess of €310 M. Effective 1 February 2012, Safic-Alcan purchased Necarbo BV (of Beverwijk, Netherlands) from the PPG Industries group. Safic-Alcan is one of the leading suppliers of chemicals and additives to the European rubber industry. The acquisition of Necarbo will strengthen its position in supplying the European paints, inks and watertreatment industries. Necarbo employs 48 people altogether and the company is wellknown for its ranges of “own-label” products, including Nebotints and Nebochips pigments. Necarbo is the distributor within certain European markets for TiO2 pigments from Tronox; for metallic pigments from Eckart and from Zhangqiu Metallic (said to be the largest producer of aluminium pigments in China); for silicas and silanes from Evonik; and for zinc oxide and zinc dusts from Umicore.
